Nicht zuletzt die Finanzmarktkrise hat auch die Frage nach einer zweckadäquaten Darstellung von Zweckgesellschaften im Konzernabschluss wieder aufgeworfen. Sowohl der nationale Gesetzgeber als auch der internationale Standardsetter versuchen mit neuen Normen, die bilanzpolitisch nutzbaren Spielräume im Zusammenhang mit Zweckgesellschaften einzudämmen. Aufgabe der vorliegenden Arbeit ist es, diese Normen vor dem Hintergrund der theoretischen Anforderungen an den Konzernabschluss zu würdigen. Dazu werden aus den Informationsinteressen der verschiedenen Anspruchsgruppen und den Zwecken des Konzernabschlusses Anforderungen an eine theoretisch fundierte Konsolidierung von Zweckgesellschaften hergeleitet. Unter Beachtung der Besonderheiten von Zweckgesellschaften werden diese für die Wertung der derzeit gültigen Normen und der geplanten Änderungen der IFRS herangezogen. Im Ergebnis wird festgestellt, dass weder die aktuellen noch die geplanten Normen zur Einbeziehung von Zweckgesellschaften den theoretischen Anforderungen genügen. Es wird abschließend für eine restriktivere Einbeziehung von Zweckgesellschaften bei Ausweitung der Anhangberichterstattung plädiert.
Special purpose entities (SPE) are currently in the focus of a number of amendments of accounting regulation. Not least the financial crisis raised the question of a presentation of these entities in the consolidated financial statements that is adequate to the purpose of these statements. The national legislator as well as the international standardsetter attempt to contain accounting policy associated with SPE by adopting new standards. The task of this thesis is to assess these standards against the background of the function of consolidated financial statements. For this purpose theoretical sound requirements will be derived from the different stakeholders' interests and the function of consolidated financial statements. Considering the features of SPE these requirements will be used to assess currently effective standards and the planned amendments within the IFRS. As a result it will be detected that neither the current nor the planned standard for the consolidation of SPE fulfill the theoretical requirements. In conclusion it is suggested to consolidate SPE more restrictive and to extend the disclosure requirements.
